These Terms and Conditions govern your use of the MyInvoice platform. Please read them carefully before using our Service. By using the Service, you agree to be bound by these Terms.
Important: AI Usage Disclosure
This Service uses artificial intelligence (AI) technologies. AI-generated content may contain errors and must be reviewed before use. Please review Section 3 for detailed information about AI usage, limitations, and your responsibilities.
Agreement to Terms
By accessing, registering for, or using the MyInvoice platform (the 'Service'), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ('Terms'). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ('User', 'you', or 'your') and MyInvoice ('we', 'us', 'our', or 'the Company').
Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modifications, you must discontinue use of the Service and may terminate your account.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts under Swiss law to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.
Account Registration
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Service Overview
MyInvoice is a Software-as-a-Service (SaaS) platform that enables users to create, manage, and process invoices, receipts, offers, contracts, and related business documents. The Service includes features for generating Swiss QR bills, managing client relationships, tracking expenses, processing digital signatures, and generating PDF documents.
AI-Powered Features
The Service utilizes artificial intelligence (AI) technologies, including OpenAI's GPT-3.5 and GPT-4o models, to provide the following features: (a) automated text generation for business documents (descriptions, offers, contracts); (b) optical character recognition (OCR) and data extraction from invoice and receipt images; (c) text improvement and enhancement capabilities. These AI features are provided 'as-is' and may produce errors or inaccuracies. Users are responsible for reviewing and verifying all AI-generated content before use.
Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted, secure, or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
Subscription Plans
The Service is offered through various subscription plans (FREE, MINI, PRO, ENTERPRISE) with different features, usage limits, and pricing. Specific features, limits, and pricing for each plan are detailed on our pricing page and may be updated from time to time. Trial periods may be offered at our discretion and are subject to these Terms.
AI Technology Disclosure
IMPORTANT: The Service uses artificial intelligence (AI) technologies, including machine learning models provided by third-party service providers (specifically OpenAI). AI-generated content, including text, extracted data, and processed information, may contain errors, inaccuracies, or may not reflect your intended meaning. AI systems are probabilistic in nature and may produce different outputs for similar inputs.
User Responsibility for AI Output
You acknowledge and agree that: (a) all AI-generated content must be reviewed, verified, and validated by you before use; (b) you are solely responsible for the accuracy, completeness, and legal compliance of all content generated or processed using AI features; (c) AI-generated content does not constitute legal, financial, or tax advice; (d) you must not rely solely on AI-generated content for critical business decisions without human verification; (e) we are not liable for any errors, omissions, or inaccuracies in AI-generated content.
AI Data Processing
When you use AI features, your data (including text, images, and documents) may be transmitted to third-party AI service providers (OpenAI) for processing. By using AI features, you consent to such data transmission and processing. We implement appropriate technical and organizational measures to protect your data, but you acknowledge that data transmitted to third-party AI providers is subject to their privacy policies and terms of service.
Limitations of AI
AI features have inherent limitations: (a) they may misinterpret or incorrectly extract information from images or documents; (b) they may generate content that is factually incorrect, incomplete, or inappropriate; (c) they may not understand context, nuance, or domain-specific requirements; (d) they may produce biased or discriminatory content; (e) they may fail to detect errors or inconsistencies. You agree to use AI features at your own risk and with appropriate human oversight.
Prohibited Uses of AI
You must not use AI features: (a) to generate illegal, harmful, or fraudulent content; (b) to violate intellectual property rights; (c) to process sensitive personal data without appropriate legal basis; (d) to create content that violates applicable laws or regulations; (e) to attempt to reverse-engineer or extract AI model parameters; (f) for any purpose that could cause harm to individuals or entities.
Lawful Use
You agree to use the Service only for lawful purposes and in accordance with these Terms, applicable Swiss law, and all applicable international laws and regulations. You must not use the Service in any way that violates any applicable law or regulation, infringes upon the rights of others, or is harmful, threatening, abusive, or otherwise objectionable.
Prohibited Activities
You must not: (a) attempt to gain unauthorized access to the Service, other accounts, or computer systems; (b) interfere with or disrupt the Service or servers; (c) use automated systems (bots, scrapers) to access the Service without permission; (d) reverse engineer, decompile, or disassemble any part of the Service; (e) remove or alter any proprietary notices; (f) use the Service to transmit viruses, malware, or harmful code; (g) impersonate any person or entity; (h) collect or harvest information about other users; (i) use the Service for any commercial purpose not expressly permitted; (j) violate any applicable export control laws.
Content Responsibility
You are solely responsible for all content, data, and information you upload, create, or transmit through the Service ('User Content'). You represent and warrant that: (a) you have all necessary rights, licenses, and permissions to use and share User Content; (b) User Content does not infringe upon intellectual property rights, privacy rights, or other rights of any third party; (c) User Content complies with all applicable laws and regulations; (d) User Content does not contain illegal, harmful, or offensive material.
Data Accuracy
You are responsible for ensuring the accuracy, completeness, and currency of all data and information you provide through the Service. You must promptly update any information that becomes inaccurate or incomplete. We are not responsible for errors, omissions, or inaccuracies in User Content.
Service Ownership
The Service, including all software, code, designs, graphics, text, images, logos, trademarks, and other materials ('Service Content'), is owned by MyInvoice or its licensors and is protected by Swiss and international copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted to you are reserved.
User Content Ownership
You retain all ownership rights in your User Content. By uploading, creating, or transmitting User Content through the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, reproduce, modify, and display your User Content solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your User Content or account, except as necessary for backup, archival, or legal compliance purposes.
Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about the Service ('Feedback'), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you.
Trademarks
All trademarks, service marks, and logos displayed on the Service are the property of MyInvoice or their respective owners. You may not use any such marks without our prior written consent or the consent of the respective owner.
Subscription Fees
Access to certain features of the Service requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis, as selected by you. All fees are stated in Swiss Francs (CHF) and are exclusive of applicable value-added tax (VAT) unless otherwise stated. You are responsible for paying all applicable taxes.
Payment Processing
Payments are processed through third-party payment processors (Stripe). By providing payment information, you authorize us to charge your payment method for all fees due. You must provide accurate and complete payment information and promptly update it if it changes. If payment cannot be processed, we may suspend or terminate your subscription.
Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal period. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will continue to have access until that time.
Price Changes
We reserve the right to modify subscription fees at any time. For existing subscribers, fee increases will apply to the next billing cycle after at least 30 days' notice. If you do not agree to the new fees, you may cancel your subscription before the increase takes effect.
Refunds
Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in exceptional circumstances, such as technical failures that prevent substantial use of the Service. Refund requests must be submitted within 14 days of the charge. Trial periods are free and do not require refunds.
Free Plan
The FREE plan is provided at no cost but is subject to usage limits and feature restrictions. We reserve the right to modify, suspend, or discontinue the FREE plan at any time. FREE plan users are subject to these Terms and our Privacy Policy.
Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
Swiss Data Protection Law (nDSG)
We comply with the Swiss Federal Act on Data Protection (nDSG) and the revised Data Protection Act (revDSG). Your personal data is processed in accordance with Swiss data protection laws, including principles of lawfulness, purpose limitation, data minimization, accuracy, storage limitation, integrity, and confidentiality.
GDPR Compliance
For users in the European Economic Area (EEA), we also comply with the General Data Protection Regulation (GDPR). You have rights regarding your personal data, including the right to access, rectify, erase, restrict processing, data portability, and object to processing. You may exercise these rights by contacting us or through your account settings.
Data Security
We implement appropriate technical and organizational measures to protect your data against unauthorized access, loss, destruction, or alteration. However, no method of transmission or storage is 100% secure. You acknowledge that you use the Service at your own risk regarding data security.
Data Retention
We retain your data for as long as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. Upon account deletion, we will delete or anonymize your personal data within 30 days, except where retention is required by law (e.g., tax records, which may be retained for up to 10 years under Swiss law).
Third-Party Data Processors
We use third-party service providers (e.g., authentication services, payment processors, AI providers, cloud storage) that may process your data. These processors are bound by contractual obligations to protect your data. A list of our data processors is available upon request.
Digital Signature Functionality
The Service provides functionality for creating and processing digital signatures on offers and contracts. Digital signatures created through the Service are intended to facilitate document signing but do not automatically confer legal validity under Swiss law.
Legal Validity Disclaimer
The legal validity and enforceability of digitally signed documents depend on various factors, including applicable law, the nature of the transaction, and the requirements of the parties involved. We do not guarantee that digitally signed documents will be legally valid or enforceable in all jurisdictions or for all purposes. You should consult with legal counsel to determine the legal requirements for your specific use case.
Signature Records
The Service records certain information related to digital signatures, including IP addresses, timestamps, and signature images. This information is stored for audit and verification purposes but does not guarantee the legal validity of the signature.
User Responsibility
You are solely responsible for: (a) ensuring that digital signatures meet the legal requirements for your intended use; (b) verifying the identity and authority of signatories; (c) ensuring that signed documents comply with applicable laws and regulations; (d) maintaining appropriate records and documentation; (e) seeking legal advice when necessary.
Swiss Electronic Signature Law
Under Swiss law, electronic signatures are generally admissible as evidence, but their legal effect depends on the type of signature and the nature of the transaction. Qualified electronic signatures (QES) have the same legal effect as handwritten signatures for most purposes. The Service may not provide QES functionality, and you should verify whether your use case requires QES.
Exclusion of Warranties
THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability (Swiss Law)
To the maximum extent permitted by applicable Swiss law, our liability for damages arising out of or in connection with the Service is limited as follows: (a) We are not liable for indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill; (b) Our total liability for direct damages is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or CHF 1,000, whichever is greater; (c) This limitation does not apply to damages caused by gross negligence or willful misconduct, or to liability that cannot be excluded under mandatory Swiss law.
AI-Related Liability
We specifically disclaim all liability for: (a) errors, inaccuracies, or omissions in AI-generated content; (b) decisions made based on AI-generated content; (c) failures of AI features to perform as expected; (d) data loss or corruption resulting from AI processing; (e) any consequences arising from reliance on AI-generated content without human verification. You use AI features at your own risk.
Third-Party Services
We are not responsible for the availability, accuracy, or reliability of third-party services, including payment processors, authentication services, AI providers, email services, or cloud storage providers. Your use of third-party services is subject to their respective terms and conditions.
Force Majeure
We are not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet failures, or actions by third parties.
Consumer Rights (Swiss Law)
If you are a consumer under Swiss law, nothing in these Terms affects your statutory rights under the Swiss Code of Obligations (OR) or other mandatory consumer protection laws. Certain liability limitations may not apply to consumers.
User Indemnification
You agree to indemnify, defend, and hold harmless MyInvoice, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or regulation; (d) your infringement of any intellectual property or other rights; (e) your User Content; (f) your use of AI-generated content.
Cooperation
You agree to cooperate with us in the defense of any claim. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you will not settle any claim without our prior written consent.
Termination by You
You may terminate your account at any time by canceling your subscription (if applicable) and deleting your account through your account settings or by contacting us. Upon termination, your right to use the Service immediately ceases.
Termination by Us
We may suspend or terminate your account and access to the Service immediately, without prior notice, if: (a) you violate these Terms; (b) you engage in fraudulent, illegal, or harmful activities; (c) you fail to pay fees when due; (d) we are required to do so by law; (e) you become insolvent or file for bankruptcy; (f) we discontinue the Service. We may also suspend your account temporarily for investigation or to prevent harm.
Effect of Termination
Upon termination: (a) your right to access and use the Service immediately ceases; (b) we may delete or disable your account and User Content; (c) you remain liable for all fees incurred before termination; (d) provisions that by their nature should survive termination (including but not limited to intellectual property, indemnification, limitation of liability, and dispute resolution) will survive.
Data Export
Before termination, you may export your data through the Service's export functionality. After termination, we will retain your data for a reasonable period (typically 30 days) to allow for data recovery, after which it will be permanently deleted, except as required by law.
Governing Law
These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Jurisdiction
For disputes arising out of or relating to these Terms or the Service, you agree to the exclusive jurisdiction of the competent courts of Switzerland. If you are a consumer domiciled in Switzerland, you may also bring proceedings in the courts of your domicile.
Dispute Resolution Process
Before initiating legal proceedings, you agree to first contact us to attempt to resolve the dispute amicably. If we cannot resolve the dispute within 60 days, either party may initiate legal proceedings. This requirement does not apply to disputes where immediate legal action is necessary to prevent irreparable harm.
Class Action Waiver
To the extent permitted by applicable law, you agree that any dispute will be resolved on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding.
Consumer Rights
If you are a consumer under Swiss law, nothing in these Terms affects your right to bring proceedings in the courts of your domicile or to seek remedies available under mandatory consumer protection laws.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, or communications.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that comes closest to the intent of the invalid provision.
Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations without your consent in connection with a merger, acquisition, or sale of assets.
Notices
We may provide notices to you via email, through the Service, or by other means. Notices are deemed received when sent (for email) or when displayed (for in-service notices). You must keep your email address current and check the Service regularly for notices.
Language
These Terms are provided in English. If translated into other languages, the English version prevails in case of discrepancies. We may provide translations for convenience, but you should refer to the English version for the authoritative text.
